The deal, in plain words.

These terms are a binding agreement between you and ThetaOS ("ThetaOS", "we", "us"), Seattle, Washington. By creating an account, starting a trial, or using ThetaOS in any way, you accept them and our Privacy Policy, which is part of this agreement. If you do not accept them, do not use ThetaOS.

Two clauses to read before the rest. Section 15 requires most disputes to be resolved by individual arbitration and waives class actions and jury trials, unless you opt out within 30 days. Section 14 limits what we can be made to pay you.

1. Who can use ThetaOS, and who agrees to this

You must be at least 13 years old. ThetaOS is not for children under 13 and we do not knowingly allow accounts for them.

If you are under 18, a parent or legal guardian must read this agreement and the Privacy Policy and agree to them on your behalf before you use ThetaOS. By using ThetaOS while under 18 you confirm that a parent or guardian has done so, and that they consent to everything this agreement covers, including the recording of classes, the collection and use of your information described in the Privacy Policy, the use of your content to improve and train our systems, and the charges on the payment method used for your account. That parent or guardian is bound by this agreement together with you, and is responsible for your use of ThetaOS and for amounts owed.

You confirm the information you give us is true, including your age. If we believe an account was opened by someone under 13, or by a minor without the consent above, or that any of it is false, we may suspend or close the account without notice or refund. One account is for one person; you are responsible for what happens in yours and for keeping your sign-in secure.

2. What ThetaOS is, and that it changes

ThetaOS connects to your school systems with credentials you provide, syncs your classes and assignments, records lectures you choose to record, researches how your school works, plans your work, learns your writing voice from samples you give it, and runs an AI agent that answers questions and produces documents inside your own account.

ThetaOS is a product under active development. We may add, change, limit, or remove any feature, model, quota, or part of the service at any time, including features described on our site or included in your plan, and we may set or change usage limits and fair-use caps. We will give notice of a change that removes something material from a plan you are paying for, and if you do not want to continue you can cancel. Nothing here is a promise that a particular feature will keep existing.

3. Recording a class

ThetaOS can record a class and turn it into notes. Recording other people has rules, and they are yours to follow, not ours:

You confirm that before recording you have permission. That means your teacher, and where your state, school, or country requires it, every other person who can be heard. Many places, including Washington State, require every person recorded to consent to the recording of a private conversation, and many schools require written permission of their own. You are responsible for knowing what applies to you and for getting that permission before you press record. If you are under 18, your parent or guardian must also agree to your recording.

You are solely responsible for any claim arising from a recording you made, and section 13 applies to it.

What we do with a recording. Audio is transcribed and the text is stored in your account so the agent can use it. Where audio is sent to a transcription provider it is handled as the Privacy Policy describes and is not retained by us as audio once the text exists.

4. Your content, and the licence you give us

Your content is yours: your chats, files, transcripts, synced school content, device files ThetaOS reads with your permission, and the documents ThetaOS generates for you. You keep ownership of it.

You grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, copy, process, transmit, modify, create derivative works from, and display that content in order to (a) run, provide, secure and support the service, and (b) operate, improve, develop, test and train our products, models, systems and features, as the Privacy Policy describes. The licence for (a) lasts as long as your content is on the service. You can opt out of (b) at any time as the Privacy Policy explains, and opting out does not change anything else about your service.

Aggregated and de-identified data. We may create statistics, benchmarks, model improvements and other data that are derived from use of ThetaOS but do not identify you or any person, and we own that data and may use and keep it without limit, including after your account is closed.

Feedback. If you send us an idea, request, or suggestion, we may use it for anything, with no obligation to you.

You confirm you have the rights to everything you upload, connect, or ask ThetaOS to read, including the right to record a lecture at your institution and in your jurisdiction.

5. What the agent may do in your school systems

On plans where the feature is included, ThetaOS can open a real browser inside your school system, using the session you signed in with, and work there while you watch it live. This is you acting through a tool you control, and you authorise it:

Reading (opening pages, reading assignments, rubrics, feedback, and files) runs when you ask for it.
Anything that changes something at your school, meaning submitting, posting, uploading, or filling in a form, is proposed to you first, shows you exactly what it will do, and runs only after you approve that specific action. You can stop the session at any moment and take the controls yourself.
ThetaOS will not act on a test, quiz, exam, or any proctored or timed assessment. This is a limit we enforce in the product and will not remove on request.

Every action taken in a school system is recorded in your account with what was done and when. You are responsible for what is submitted from your account, and for keeping this use within your school's rules.

6. Our access to your account

Authorised ThetaOS people and systems can access, view, and process any content and activity in your account where it is needed to run the service: fixing faults, answering support you asked for, investigating abuse or a safety risk, complying with the law or a lawful request, enforcing these terms, and developing and improving the product as sections 4 and the Privacy Policy describe. Access is limited to people who need it for those purposes. We do not sell your personal information.

7. Schoolwork, AI detection, and academic integrity

ThetaOS produces drafts, explanations, plans, and study materials, and writes in your own voice from samples of your work that you provide.

What the humanize feature actually does. When you ask for it, ThetaOS scores a draft with a third-party AI-detection service and rewrites it, in the voice learned from your own writing, until the score is under a threshold, and it shows you the result. It is a measurement and a rewrite of your own document at your request. Detection scores are probabilistic, are wrong in both directions, and are not a verdict on anything. Nothing about this feature is a statement that submitting the output is permitted where you study.

Your school's rules are between you and your school. You are responsible for how you use anything ThetaOS makes, for reviewing it, and for what you submit. Submitting work you did not write, or work you presented as unassisted when it was not, may break your school's rules and carry real consequences, and those consequences are yours alone. ThetaOS makes no representation that any output is original, accurate, or acceptable for submission anywhere.

Where we draw our own line. ThetaOS does not help with tests, quizzes, exams, or any proctored or timed assessment. ThetaOS keeps track of what it helped you with so it can drill you on exactly that before the exam, because that is the part an exam will find.

Grades, deadlines, and school records shown in ThetaOS are synced copies; the source of truth is your school system, and you should verify anything that matters.

8. Plans, trials, billing, and price changes

Free use. Creating an account, connecting your school, and seeing your classes, files and due dates is free, and no payment method is collected. An account that is not on a paid plan may have ThetaOS make one thing for free, such as a study set, a practice test or an answer. After that, making anything new requires a paid plan; work you have already saved stays available. You are never charged unless you choose a plan and add a payment method yourself. The rest of this section applies to paid plans.

Renewal. Subscriptions renew automatically at the billing interval and price shown in your subscription, until you cancel. Payment is taken by Stripe from the method on file. You authorise those charges, including applicable taxes.

Cancelling.You can cancel at any time from your profile or Stripe's billing portal, effective at the end of the period you have paid for. You keep access until then.

Refunds. Payments are non-refundable and periods are not pro-rated, including for unused time and for periods after cancellation, except where the law requires a refund or where we choose to give one. Failed payments may suspend the account.

Price and plan changes. We may change our prices, plans, billing periods, included features, usage caps and fair-use limits at any time, including for people already subscribed. A change to the price or billing terms of an existing subscription takes effect at your next renewal and not before, and we will tell you in the product or by email at least 14 days beforehand, or longer where the law requires. Continuing after the change takes effect, or not cancelling before your next renewal, is your acceptance of the new price. If you do not accept it, cancel before that renewal. We do not change the price of a period you have already paid for. Introductory, promotional and founding rates last only for the period stated and renew at the standard price unless we say otherwise.

9. Acceptable use

Do not share accounts, resell or sublicense access, scrape the service, attempt to reach other people's data, probe, overload, or reverse engineer the service, work around any limit or cap, use ThetaOS to break the law or anyone's rights, or use it to create content that is unlawful, harassing, or harmful. Do not connect school accounts that are not yours, and do not direct the agent to act in an account that is not yours. Do not attempt to use ThetaOS on a test, quiz, exam, or proctored assessment. Do not use ThetaOS or its output to build or train a competing product.

10. Suspension and termination

You can delete your account in Settings at any time; deletion works as the Privacy Policy describes. We may suspend or terminate your account or the service at any time, with or without notice, for breach of these terms, risk to the service or to other people, a legal requirement, non-payment, or if we discontinue ThetaOS. Where we discontinue the service without cause we will give reasonable notice so you can export your content, and will refund the unused part of a period you have prepaid. Sections 4, 6, 7, 9, 11 to 17 survive termination.

11. No warranty

ThetaOS is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or quiet enjoyment. AI output can be wrong, invented, or unsuitable; syncs can lag or fail; deadlines and grades shown here are copies. We do not warrant that the service will be uninterrupted, secure, error free, or that any output is accurate, original, or fit for anything. You use it at your own risk. Some places do not allow these exclusions, so some may not apply to you.

12. Limitation of liability

To the fullest extent the law allows, ThetaOS and anyone working with us is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost grades, academic penalties, disciplinary outcomes, lost opportunities, lost profits, lost data, or loss of goodwill, whatever the theory and even if we were told the risk existed.

Our total liability for all claims relating to ThetaOS is limited to the greater of the amount you actually paid us in the 12 months before the event giving rise to the claim, or one hundred United States dollars. These limits apply even if a remedy fails of its essential purpose. Some places do not allow these limits, so they may not fully apply to you.

13. You cover claims that come from your use

You agree to defend, indemnify and hold harmless ThetaOS and its owner, contractors and suppliers from any claim, demand, loss, liability, penalty, or expense, including reasonable legal fees, that arises out of or relates to: your use of ThetaOS; anything you upload, connect, record, generate or submit through it; a recording you made; your school's academic-integrity or conduct process; your breach of these terms or of any law; or your infringement of anyone else's rights. If you are under 18, your parent or guardian agrees to this on your behalf and with you. We may take over the defence of any such claim at your expense, and you will not settle anything that admits fault on our part without our written agreement.

14. Third parties

ThetaOS works with services we do not control, including your school systems, identity providers, model and transcription providers, the AI-detection service, and Stripe. Their behaviour, availability, pricing, and terms are theirs, not ours, and we are not liable for them. Your use of a school system remains governed by that school's own rules.

15. Disputes: arbitration, and no class actions

Talk to us first. Before starting anything formal, email us a description of the problem and give us 30 days to resolve it. Most things end here.

Arbitration. If it does not, you and ThetaOS agree that any dispute arising out of or relating to ThetaOS or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in King County, Washington, or by video or telephone at your choice, rather than in court. The arbitrator decides everything, including questions about whether this clause applies. Either of us may still bring an individual claim in small-claims court, and either of us may ask a court to stop the misuse of intellectual property.

No class actions. Claims may be brought only in your individual capacity, not as a plaintiff or class member in any class, consolidated, or representative action, and the arbitrator may not combine claims. You and ThetaOS each waive any right to a jury trial. If the class waiver in this section is held unenforceable, this whole section 15 does not apply to that dispute.

You can opt out. You may opt out of this arbitration section by emailing duggalshaurya1234@gmail.com with the subject "Arbitration opt-out" and your account email, within 30 days of first accepting these terms. Opting out changes nothing else, and we will not treat you differently for it.

These terms are governed by the laws of the State of Washington without regard to its conflict-of-laws rules. Where a dispute is not subject to arbitration, it belongs to the state or federal courts of King County, Washington, and you consent to their jurisdiction.

16. Changes to these terms

We may update these terms at any time. For a change that materially affects your rights we will notify you in the product or by email before it takes effect. Continuing to use ThetaOS after the effective date is your acceptance; if you do not accept, stop using ThetaOS and cancel. The version on this page is always the one in force, and its date is at the top.

17. Everything else

These terms and the Privacy Policy are the entire agreement between us about ThetaOS and replace anything said before. If a provision is held unenforceable, the rest stays in force and that provision is narrowed to the minimum change needed. Our not enforcing something is not a waiver of it. You may not assign this agreement; we may assign it, including in a merger, acquisition, or sale of assets. Neither of us is liable for a failure caused by something outside our reasonable control. You may not use ThetaOS where United States law forbids it, or if you are on a United States sanctions list. Nothing in these terms limits any right you have that cannot be limited by law.
